These Terms of Use ("Terms") govern access to and use of SmartReadingPen.com (the "Website"), operated by Kidkey Union Technology Co., Ltd. ("we", "us", "our"), a Shenzhen-based manufacturer of reading pens, translation pens, electronic word cards, educational toys and PCBA products. By using the Website you agree to these Terms. If you do not agree, please do not use the Website.

1. Business-to-business website

The Website is intended for business visitors, including importers, distributors, wholesalers, retailers, brands, publishers, educational institutions and other organizational buyers. You represent that you use the Website in a professional capacity and have authority to bind your organization.

2. Permitted use

We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Website for lawful business purposes. You may not:

• Use the Website in violation of any applicable law or regulation.
• Attempt to gain unauthorized access to, disrupt or overload the Website or its related systems.
• Use automated tools to scrape, copy or bulk-download content except for pages made available for that purpose, without our written permission.
• Send fraudulent, false or abusive inquiries, or impersonate another person or company.
• Use our trademarks, product images or text in a misleading way or without permission.

3. Intellectual property

All content on the Website — including text, product descriptions, photographs, videos, graphics, logos, layout and software — is owned by us or our licensors and protected by intellectual-property laws. Product appearances, trademarks and trade names may not be reproduced or used without prior written consent, except to the extent required by a valid OEM/ODM agreement with us.

4. Inquiries, quotations and orders

• Information submitted through RFQ and contact forms is used to prepare a response; submission does not form a contract.
• Prices, MOQs, lead times and specifications stated on the Website or in informal correspondence are indicative only. A quotation is not binding until confirmed in a written proforma invoice or signed sales contract.
• Product models, configurations, colors, packaging and specifications shown online may be updated or discontinued without notice; confirm current specifications in writing before ordering.
• Each purchase order is governed by the corresponding proforma invoice or sales contract. In case of conflict, those documents prevail over these Terms.

5. Product information and compliance documents

We aim to keep product information accurate, but we do not warrant that every description, dimension, certification detail or compatibility statement is complete or current. Certification documents (such as CE, FCC, CPC or RoHS related paperwork) are issued per model and destination market according to the agreed project scope; the display of a certification mark on the Website does not imply certification of every configuration sold in every market.

6. Third-party links and services

The Website may contain links to third-party websites or services we do not control. We are not responsible for the content, availability, policies or practices of third-party websites; you use them at your own risk.

7. Disclaimer

The Website and its content are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including accuracy, merchantability, fitness for a particular purpose and non-infringement, except for obligations that cannot be excluded under applicable law.

8. Limitation of liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, consequential or punitive loss arising from use of the Website, reliance on product information, or lost business or profits. Our total liability in connection with the Website is limited to the amount paid by you under the related order, or zero where no order exists. Nothing in these Terms excludes liability for fraud or other liability that cannot be limited by law.

9. Indemnification

You agree to indemnify us against claims, losses and costs arising from your misuse of the Website, your breach of these Terms, or infringement of third-party rights through information or materials you submit (for example, OEM artwork or audio content you provide).

10. Changes, suspension and termination

We may update, suspend or discontinue any part of the Website at any time without liability. We may also block access where these Terms are breached. Continued use after updated Terms are posted constitutes acceptance of the updated version.

11. Governing law and disputes

These Terms are governed by the laws of the People's Republic of China, without regard to conflict-of-law rules. Any dispute arising from use of the Website that cannot be resolved through good-faith negotiation will be submitted to the competent people's court in Shenzhen, Guangdong, China. The UN Convention on Contracts for the International Sale of Goods does not apply to these Website terms; the governing law of an actual sale remains as agreed in the sales contract or proforma invoice.

12. Language

These Terms may be translated into other languages for convenience. In case of inconsistency, the English version controls.
